Grace Winters

As a Partner with Manatt, Phelps & Phillips, Grace Winters represents major clients nationwide on large-scale multifamily, commercial, office and industrial projects and is frequently called upon to lead and manage significant real estate transactions. She works closely with clients’ business and legal teams. She regularly collaborates with their internal risk management, compliance and operations departments, as well as outside legal experts, third-party operators, investors, lenders, developers and consultants. 

Notable matters include representing Avanath Capital Management in a recent portfolio and property management restructure and refinancing the client’s credit facility. She also represented an investment management and development firm in a purchase negotiation for a Costa Mesa property and refinanced an $87-million loan for a Los Angeles multifamily property.

Winters has presented at many of Manatt’s webinars on the legal arena of real estate and spoken at events, conferences and forums. She is an active member of CREW Orange County and served as an Executive Committee member of the Los Angeles County Bar Association (Real Property Section). She actively recruits and fosters several mentor relationships with aspiring female lawyers and law students. 

Winters was named a Commercial Real Estate Professional Services Advisor “Visionary” by the Los Angeles Times, an Orange County Visionary in Times OC and a top-ranked attorney in the Real Estate for Southern California section of Chambers USA (2022–2024).
