Sonida Completes $1.8-Billion Merger with CNL Healthcare Properties

Sonida Senior Living completed its $1.8-billion cash-and-stock acquisition of CNL Healthcare Properties, creating a senior housing owner-operator with 153 communities and approximately 14,700 units across the United States.

The combined portfolio includes independent living, assisted living and memory care communities, making Sonida the eighth-largest owner of U.S. senior living assets by units. The transaction significantly expanded Sonida’s footprint in the South, Southeast and Midwest and added exposure to the Mountain West, Pacific Northwest and Mid-Atlantic.

Sonida also secured $930 million in permanent debt financing to support the transaction and refinance existing debt. The financing includes a $405-million revolving credit facility, two $262.5-million term loans, and an accordion feature providing up to $320 million in additional borrowing capacity, bringing the potential total debt capacity to $1.25 billion.
