Led legal efforts on S2's $2 billion REIT conversion into a private REIT

Integral in completing S2's Investment Manager entity as a Registered Investment Advisory

Jenna Rowley is S2 Capital’s Chief Compliance Officer and General Counsel. She supervises all legal and Registered Investment Advisory compliance matters for S2 Capital.

She led all legal efforts on S2’s $2-billion REIT conversion (converting 26 JV entities into a private REIT), which closed in February 2024 and represented a major step in the firm’s evolution into a national residential multifamily investment firm. She was also integral in completing S2’s Investment Manager entity (S2 Fund Manager LLC) as a Registered Investment Advisory. Since then, she has implemented policies and procedures and a quarterly compliance program for all covered employees. Additionally, Rowley coordinates legal efforts for Fund I and Fund II investment vehicles and handles ongoing legal activities.

Rowley is part of the firm’s management committee, is the secretary for the investment committee, and launched the RIA compliance project.

In her three years at S2, Rowley has confronted complex business situations and challenges and always brought a problem-solving skillset to even the most difficult tasks. She helped her team devise unique structures to achieve results where no precedent existed. In the process, she mentored others in the organization, leading colleagues and mentees to explore new ideas, approach problems with fresh viewpoints, and collaborate to produce top-tier work.
