Herb Chambers Car Dealership Chain Trades for $1.3B

Asbury Automotive Group, based in Duluth, GA, said Monday it will acquire various automotive dealerships owned by Somerville, MA-based Herb Chambers Companies (HCC), the nation’s 14th largest privately-owned dealership group by revenue. The $1.34-billion acquisition is one of the largest in U.S. automotive retail history.

The HCC portfolio Asbury is acquiring includes 33 dealerships, 52 franchises and three collision centers across the Boston and Providence metro areas. HCC principal Herb Chambers has agreed to serve as special advisor to Asbury and will retain ownership of Mercedes-Benz of Boston in Somerville.

Jones Day and Hill Ward Henderson served as legal counsel, Baker Tilly served as the transaction advisory firm and BofA Securities served as financial advisor to Asbury. Stephens Inc. served as financial advisor and WilmerHale served as legal counsel to HCC.
