Brookfield Infrastructure, GIC Acquire Railroad Operator G&W for $8.4B

Railroad operator Genesee & Wyoming agreed to be acquired by Brookfield Infrastructure and GIC in a transaction valued at approximately $8.4 billion. The transaction will result in G&W becoming a privately held company.

G&W currently owns a portfolio of 120 short line railroads, mostly in North America, with operations in Europe as well as Australia. The business provides transportation infrastructure services over more than 26,000 kilometers of track. As part of the transaction, G&W shareholders will receive $112 in cash for each share held.

The transaction is expected to close by the end of 2019, but first needs approval from G&W stockholders, the Committee on Foreign Investment in the United States and the U.S. Surface Transportation Board, as well as certain antitrust approvals. Brookfield Infrastructure’s investment will be approximately $500 million of equity. The remainder of the business will be owned by Brookfield Infrastructure’s institutional partners and GIC.
